Coursework Brief:

Individual Coursework: Individual 3000-word Case Study Analysis in Real-life Corporate Setting (100% Summative Assessment):

You are required to carry out desk research to prepare and submit an individual project report analysing contemporary corporate governance policies and practices of two publicly listed non-financial companies. Please complete the following two parts to complete your project:

PART 1: Desk research to collect company-specific data:

1) Please select two companies that are listed on the London Stock Exchange under two different industries, as outlined below (please select any one from each industry): Oil & Gas (Shell PLC, TotalEnergies SE, BP PLC, Repsol SA, and Ithaca Energy PLC) and Pharmaceuticals (AstraZeneca PLC, GSK PLC, Haleon PLC, Sandoz Group AG, and Hikma Pharmaceuticals PLC). (Please email me the selected company names for approval before starting your data collection and analysis.)

2) Download the annual reports and sustainability reports of the last five years (e.g., 2020 - 2024) from the websites of the two selected companies (e.g., 10 annual reports and 10 sustainability reports in total).

3) Collect corporate governance (e.g., ownership structure, board of directors and remuneration practices) and other financial (e.g., financial performance) and non-financial (e.g., social and environmental accounting) data about these two companies.

4) Carry out further desk research (through Google/Google Scholar search, as well as the University’s Library search and University-subscribed databases such as Refinitiv/LSEG, and newspapers such as Financial Times) to gather additional data/information about these two companies, together with academic and practitioner-oriented literature on corporate governance.

5) Provide a brief summary of the data collection and analysis methods/processes in the introduction of the project report.

PART 2: Based on the collected data/information and related theoretical and empirical literature, together with the module’s learning materials, answer the following questions:

(1) Briefly outline the institutional characteristics (e.g., code of corporate governance, capital markets/market for corporate control, regulations) and major global trends/events (e.g., emerging technologies, climate change, equality diversity and inclusion or EDI) that can influence corporate governance practices of the two case study companies.

(2) Identify and evaluate two broad-based theories of corporate governance that can explain the impact of corporate governance mechanisms such as ownership structure, board composition and characteristics, executive compensation and corporate disclosures.

(3) Against this contextual background and related theoretical and empirical literature, critically evaluate the overall pattern and changes in ownership structure (concentration and types), board characteristics (e.g., board composition, independence and diversity) and board committees, executive compensation (e.g., structure and level) and financial reporting quality (using indicators such as internal controls, audit opinions, earnings quality etc) of the two selected companies over the past five years. You should also critically compare and contrast the structure and pattern of these four governance mechanisms between these two companies.

(4) Using related theoretical and empirical literature, assess the effectiveness of these four corporate governance mechanisms in improving financial performance (e.g., market value, stock return, profitability) and enhancing environmental, social and governance (ESG) performance for these two companies over the last five years. You should also critically compare and contrast the effectiveness of these four governance mechanisms between these two companies, including the likely reasons for any differences between them (if any).

The introduction should explain briefly the significance of the project, a briefly summary of the data collection and analysis methods (see Part 1 requirements), and an overview of the structure of the report. Conclusions should summarize the main issues explained, before giving your own arguments/assessments.

• You are expected to demonstrate an in-depth/critical understanding of contemporary debates/research about corporate governance, and to assess the effectiveness of various governance mechanisms of those two companies, as well as their relevance to public policies and practices.

• You should be critical, imaginative and creative with the use of literature (e.g., contextual, empirical and theoretical literature), graphical and visual tools, such as tables, figures, graphs, and statistics, where appropriate.

• Relevant material will be available from a variety of sources including lecture notes and handouts, books, journal articles, Blackboard, databases such as Refinitiv/LSEG, and wider ranging internet sources such as Financial Times Newspaper (please see recommended readings/resources outlined in the module handbook). Credit will be given for the range and depth of material used, as well as the originality and manner in which the information is analysed and summarised. Moreover, you can get free access to Financial Times newspaper by using your university email and password.

• You are expected to provide references from academic/policy-oriented journal articles on corporate governance issues that are electronically available via the University’s library search. Among others, you should cite recently published articles published in the following journals: Corporate Governance: An International Review; Journal of Business Ethics; Journal of Corporate Finance; British Accounting Review; Corporate Governance: International Journal of Business in Society.

• You should comply with academic integrity policies of the University, including avoiding copying/plagiarism. In particular, and in line with the University regulations, the use of generative artificial intelligence and large language models, such as ChatGPT is not permitted for this project and therefore students should avoid doing so. Great care should be taken to ensure that you reference your sources appropriately.
